Careerscape is recruiting a Remote Corporate Counsel for our client — a fast-scaling technology company based in New York. Responsibilities

  • Draft, review, and negotiate the full range of commercial agreements — master services agreements, SaaS contracts, NDAs, vendor and reseller deals, and statements of work
  • Act as the first-call legal partner for teams across sales, product, marketing, people operations, and finance
  • Steward corporate governance activities including board prep, entity maintenance, and subsidiary oversight
  • Guide the business through privacy and data protection matters — GDPR, CCPA/CPRA, HIPAA, and the growing patchwork of U.S. state privacy frameworks
  • Advise on employment-related issues including offers, separations, handbook policies, and internal investigations
  • Support M&A, strategic investments, and financing events from diligence through close and post-deal integration
  • Protect and manage the company's IP portfolio — trademarks, copyrights, trade secrets, and licensing arrangements
  • Coordinate responses to disputes, demand letters, and litigation alongside outside counsel
  • Track regulatory shifts affecting the business and translate them into plain-language, usable guidance
  • Build out templates, playbooks, and self-serve tools that let the legal function scale with the business
  • Collaborate with compliance, security, and finance on risk, audits, and policy creation
  • Own external counsel relationships and help keep legal spend efficient

Requirements

  • JD from an accredited U.S. law school with active bar admission in at least one state and good standing
  • 4+ years of combined BigLaw and in-house experience, including at least 2 years focused on commercial contracting
  • Sharp drafting and negotiation skills across a broad set of technology and commercial agreements
  • Working fluency in U.S. privacy laws (GDPR, CCPA/CPRA) and familiarity with technology-sector regulatory issues
  • Comfortable with SaaS, cloud, and software licensing business models
  • Experience counseling a multistate U.S. employer on employment matters
  • Exposure to corporate governance, M&A, or capital raises is a strong plus
  • Sound commercial instincts — able to weigh legal risk against real business objectives
  • Clear, concise communicator who can translate legal complexity for non-lawyers
  • Strong organizational skills and the ability to juggle competing priorities across multiple teams
  • Self-sufficient in a remote-first environment and able to build trusted relationships across a distributed organization
